Constitution

ARTICLE I - NAME

The name of this organization is:  Las Vegas Music Teachers Association, an affiliate of Nevada Music Teachers Association and Music Teachers National Association.

ARTICLE II - OBJECT AND POLICY

Section 1          The object of this association is to promote the art of music by disseminating the knowledge and appreciation of music to people throughout the state.

Section 2          The policy is to cooperate with NMTA and MTNA and local organizations and worthy musical projects for the benefit of students as well as teachers, and to be affiliated with NMTA and MTNA.

Section 3          This association is not organized for the benefit or profit of any one member whatsoever.

Section 4          No part of the net earnings of the association shall inure to the benefit of, or be distributable to, its members, trustees, officers or other private persons, except that the association shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in Section 5 hereof.  No substantial part of the activities of the association shall be the carrying on of propaganda or otherwise attempting to influence legislation and the association shall not participate in, or intervene in (including the publishing or distribution of statement) any political campaign on behalf of any candidate for public office.  Notwithstanding any other provision of these Articles, the association shall not carry on any other activities not permitted to be carried on (a) by an association exempt from Federal Income Tax under Section 501(c)(3) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue Law) or (b) by an association contribution to which are deductible under Section 170(c)(2) of the Internal Revenue Code of 1954 (or the corresponding provision of any future  United Stated Internal Revenue Law).

Section 5          Said organization is organized exclusively for charitable, religious, educational and scientific purposes, including, for such purposes, the making and distributions to organizations that qualify as exempt organizations under Section 501(c)(3) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue Law).

ARTICLE III - MEMBERSHIP

The privileges and dues of the members are prescribed in the By-Laws.

ARTICLE IV - OFFICERS

Section 1          The officers will consist of a President, three Vice-Presidents, Secretary and a Treasurer.  The President must be state certified.  The authority and duties are defined in the By-Laws of this Association.

Section 2          The executive board shall consist of the elected officers and committee chairmen.

ARTICLE V - FISCAL YEAR

The fiscal year begins July 1 and ends June 30.

ARTICLE VI - MEETINGS

Section 1          The association shall meet monthly September through May.

Section 2          The executive board shall meet prior to each general meeting.

ARTICLE VII - QUORUM

Section 1          Five (5) active members of which three (3) are elected shall constitute a quorum of the executive board for transacting business.

Section 2          Eight (8) active members in addition to the executive board quorum constitutes a quorum for transacting business for the association.

ARTICLE VIII - DISSOLUTION

Upon the dissolution of the association, the executive board shall, after paying or making provision for all of the liabilities of the association, distribute all the remaining assets to a nonprofit fund or foundation which is organized exclusively for charitable purposes and that has established its tax exempt status under Section 501(c)(3) of the Internal Revenue Code, namely the Music Teachers National Association Foundation, 2113 Carew Tower, Cincinnati, OH 45202.

ARTICLE IX - AMENDMENTS

Amendments to this Constitution may be made by two-thirds vote of the active members present at a monthly meeting.  A written proposal must be submitted to the membership one week prior to the voting date. 

By-Laws

ARTICLE I - MEMBERSHIP

Section 1          Active membership is open to all those professionally engaged in any field of musical activity who are members of the Nevada Music Teachers Association and Music Teachers National Association.  Such membership provides participation in holding office, voting, attending meetings, student recitals, student scholarship auditions and any other association activities.

Section 2          Association membership is open to businesses or individuals who wish to support the association, but does not include the right to vote, hold office, or enter a student in any student activity.  These members will not be affiliated with the state or national associations.

Section 3          Honorary Life membership is conferred by the executive board upon individuals who have given distinguished service to the association or to the art of music.  Such membership carries the same privileges as the active membership.

Section 4          Student membership is open to students of association members high school through 26 years of age currently taking lessons or studying full time at the university, not giving lessons professionally.

ARTICLE II - MEMBERSHIP YEAR

The membership year is the same as the fiscal year, July 1 through June 30.

ARTICLE III - DUES

The annual dues are $10.00, payable at the same time as state and national dues which is May 1 and delinquent July 1.  The national association sends a dues notice and remittance is made directly to the nation office.

ARTICLE IV - DUTIES OF OFFICERS

Section 1          The President presides at all meetings of the association and executive board; may call meetings; appoint all standing and special committees; act as ex-officio member of all committees and performs all other duties implied by the title.  The President should attend all conventions or send a delegate.

Section 2          The First Vice-President shall act in the absence of the President, shall assist the President and shall serve as chair of the Program Committee.

Section 3          The Second Vice-President is in charge of Membership.

Section 4          The Third Vice-President is in charge of the Newsletter.

Section 5          The Secretary records minutes of all executive board and general meetings; sees that the minutes are in legal form and properly presented and performs other duties as imposed by the President.

Section 6          The Treasurer deposits all funds in a bank recommended by the executive board; pays all recurring bills; maintains membership records.  Irregular charges must be authorized by the President, with approval of the executive board.  He/she maintains proper financial records and prepares a written report at the end of the fiscal year.  The books are audited at the end of each fiscal year by a committee or an auditor selected by the executive board.  The term of Treasurer should exceed one month and fifteen days following the close of the fiscal year and normal term for other officers.

Section 7          No officer, including the President may take solo action upon themselves regarding organization matters without the approval of the executive board, e.g., letter writing of a chastising nature.

ARTICLE V - ELECTION OF OFFICERS

Section 1          Officers will be elected at the end of two (2) consecutive fiscal years.

Section 2          A nominating committee of three (3) members will be selected by the executive board two months prior to the election.  The past President will serve as chairman if possible.  If not, the executive board may appoint a chairman.

Section 3          The nominating committee will submit the names for each of the elected offices.  Additional nominations may be made from the floor.  Qualified voters will cast secret ballots for one of each of the elected officers.  Those receiving the majority of votes will be elected for two years.  Should more than one nomination be made for an office, there will be a run-off of the two leading candidates receiving the most votes.  The nominating committee is responsible for distributing, collecting and counting of the ballots and making a tally sheet.

Section 4          The regular term of office begins with the fiscal year of July 1.

Section 5          No officer, except the Treasurer, may hold the same office for more than two consecutive years.

Section 6          Vacancies may be filled by the appointment of the President with the approval of the executive board.

ARTICLE VI - BOLOGNINI SCHOLARSHIP

The Bolognini Music Scholarship Fund established in honor of Maestro Bolognini is a continuing trust dedicated to fostering the music education of students through the granting of monetary awards.  It is to be perpetuated through fund raising projects as deemed advisable by the executive board.  The terms, basis, and amount of the scholarships awarded annually to the students in all fields of music, shall be set by the executive board.

ARTICLE VII - PARLIAMENTARY AUTHORITY

The meetings of this association, its executive board and its committees shall be governed by Robert's Rules of Order in all cases where they do not conflict with the Constitution and By-Laws.

ARTICLE VIII - AMENDMENTS

These By-Laws may be amended at any regular business meeting by a two-thirds vote of the active members present and voting.  The proposed amendment should be submitted to the membership at least twenty-four hours in advance of the meeting.
